ISNAP Terms & Conditions

Welcome to ISNAP. By using our services, you agree to the following Terms and Conditions. Please read them carefully before registering as a seller or using any ISNAP manual services or tools, including our IBAS AI Automation System.

1. Scope of Services

ISNAP provides end-to-end eCommerce, branding, digital marketing, logistics, and AI-powered business automation services, including but not limited to:

● Marketplace onboarding (Amazon, Flipkart, Walmart, eBay, Etsy, Blinkit, Zepto, etc.)

● eCommerce brand store development

● Cataloging & A+ listing services

● Inventory, price, cost & order management

● Return & payment reconciliation

● SEO and performance marketing campaigns

● Branding & content creation

● Pan India and international logistics

● AI-powered business automation (via IBAS AI Tool)

2. Seller Eligibility

To register and use ISNAP services, you must:

● Be a legally registered business or entity

● Possess a valid GST number (for India-based sellers)

● Own or represent rights to list, market, and sell the products provided

● Agree to provide accurate and updated business and product information

3. Seller Responsibilities

Sellers using ISNAP services agree to:

● Submit complete and accurate product, pricing, and brand information via the seller onboarding form

● Approve listings, creatives, and pricing where required

● Maintain inventory accuracy and ensure timely order fulfillment (for eStore and quick commerce)

● Abide by individual marketplace policies and regulations

● Review and respond to ISNAP's communication, updates, and feedback within reasonable timelines

4. Intellectual Property

● All logos, brand assets, designs, and content created by ISNAP remain the intellectual property of ISNAP unless transferred explicitly in writing.

● Sellers own rights to their brand, product content, and proprietary data submitted to ISNAP for service execution.

● Sellers must not use IBAS AI tool or ISNAP-generated material for resale or redistribution without written consent.

5. IBAS AI Automation Tool Usage

● ISNAP provides access to the IBAS AI tool for eligible service plans.

● Sellers agree not to tamper, copy, reverse engineer, or misuse the tool.

● ISNAP reserves the right to update, modify, suspend, or revoke tool access in case of policy violations or misuse.

6. Payment & Fees

● Service charges and platform fees will be communicated via proposals or contracts and must be paid as agreed.

● Late payments may attract interest charges or temporary suspension of services.

● No refunds shall be made for services already rendered or in progress unless otherwise agreed in writing.

7. Performance & Results

● ISNAP ensures best-in-class execution, technology, and strategy to support business growth.

● However, ROI, sales growth, or platform acceptance may vary based on platform algorithms, market demand, and seller compliance.

● ISNAP is not liable for performance dips due to marketplace policy changes, competitor actions, platform outages, or unforeseen events.

8. Logistics & Shipping Terms

● ISNAP offers discounted shipping services through its logistics network for Pan India, international, and hyperlocal deliveries.

● ISNAP is not responsible for losses caused by third-party courier mishandling, customs delays, or incorrect address details.

● All claims for returns, damage, or delays must be reported within 48 hours of delivery/failure.

● Shipping rates and SLAs are subject to change based on courier partner terms.

9. Confidentiality

● Both ISNAP and the seller agree to maintain the confidentiality of business, operational, financial, and strategic data shared during the engagement.

● Confidential information may not be disclosed to third parties without prior written consent, except where required by law.

10. Termination & Suspension

● Either party may terminate services with 15 days written notice.

● ISNAP reserves the right to suspend or terminate services without prior notice for:

  1. Non-payment of dues

  2. Misuse of IBAS tool or service content

  3. Repeated delays in approvals/responses

  4. Breach of any terms mentioned herein

11. Limitation of Liability

● ISNAP shall not be liable for any direct or indirect loss of profits, revenue, business opportunities, or third-party claims resulting from the use of its services.

● Maximum liability shall be limited to the value of the last paid invoice for the particular service.

12. Force Majeure

ISNAP shall not be held liable for failure to perform services due to events beyond its control, including natural disasters, strikes, government orders, or internet/technology outages.

13. Amendments

ISNAP may revise these Terms & Conditions from time to time. Updated terms will be posted on our website and take effect upon publication. Continued use of our services implies acceptance of the revised terms.

14. Governing Law

These Terms & Conditions are governed by the laws of India. All disputes arising shall be subject to the jurisdiction of the courts in Hyderabad, Telangana.
